This Terms of Service Agreement (the “Agreement”), governs the individual (the “Client”, “you”), accessing or using samarrayoga.com (the “Website”) and any related tools, services, and features offered by Samarra Yoga, LLC. (“Company,” “we,” or “us”) (collectively, the “Services”). By accessing the Website or using the Services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, please do not use the Platform. These Terms constitute a legally binding agreement between you and Samarra Yoga LLC. By creating an account, accessing content, or completing a purchase, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.
1. Parties, Scope, and Data Roles
This Agreement applies to all users of the Website, including Client, its authorized users, and any individual accessing the Website through a Client account. If Client is accessing or using the Website on behalf of an entity, Client represents and warrants that it has full authority to bind such entity to this Agreement. This Agreement governs access to and use of the Website and applies to: (i) visitors to the Company’s websites; (ii) users accessing the Website through a Client account; and (iii) individuals whose information is collected or processed through the Website on behalf of Client.
You may create a free account to access certain features of the Website. By registering, you agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update your account information if it changes
- Accept responsibility for all activity that occurs under your account
You may not share your account credentials or transfer your account to another person. We reserve the right to suspend or terminate accounts that violate these Terms.
2. Website Description
The Website provides online prenatal and postnatal yoga instruction through prerecorded video content, delivered via a digital platform for home practice. Samarra Yoga LLC may additionally offer livestreamed classes in the future. Any content on the Website is designed to support general wellness during pregnancy and postpartum recovery and is not a substitute for medical care or professional clinical instruction.
3. Account Responsibility and Legal Compliance
Client is solely responsible for all activity under its account, including activity by Authorized Users, and shall maintain the confidentiality of its login credentials and promptly notify Company of any unauthorized access or security breach. Client is solely responsible for ensuring that its use of the Services complies with all applicable laws and regulations. Client represents and warrants that all Personal Data has been lawfully collected, all required notices and disclosures have been provided, and all legally required consents, including consent for SMS and email communications, have been obtained.
4. Acceptable Use and Restrictions
Client agrees not to use the Website to engage in unlawful, deceptive, abusive, or fraudulent activity. Prohibited uses include without limitation:
- Sending messages without required consent
- Using purchased, rented, scraped, or third-party lists
- Sending misleading or false content
- Violating federal, state, or local laws, or any consumer protection or privacy laws
- Attempting to reverse engineer or resell the Website
- Interfering with Website security or integrity
Company may suspend or terminate access for any violation or suspected violation of this section.
5. Purchases and Refunds
All course purchases are processed securely through Stripe. By completing a purchase, you agree to the pricing and terms displayed at checkout.
Refund Policy: If you are not satisfied with your purchase, you may request a full refund within 30 days of the date of purchase by contacting hello@samarrayoga.com. Refund requests submitted after this period will not be eligible. Please include your order confirmation in your request.
Upon purchase, you receive a non-exclusive, non-transferable license to access the purchased course content for personal use only. Course access is granted to the individual purchaser and may not be shared.
6. Indemnification
Client shall defend, indemnify, and hold harmless Company and its officers, directors, employees, contractors, affiliates, and agents from and against any and all claims, demands, actions, investigations, damages, fines, penalties, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Client’s use of the Website or Services; (b) Client’s violation of any applicable law, regulation, or industry standard, including without limitation messaging, privacy, and consumer protection laws; (c) Client Content or campaigns transmitted through the Website; (d) the Company’s processing of Personal Data; or (e) Client’s breach of this Agreement or misuse of the Website.
7. Intellectual Property
Company retains all ownership rights in the Website. Client is granted a limited non-exclusive nontransferable revocable license to use the Website during the term. Client may not copy, modify, distribute, sublicense, or create derivative works.
8. Suspension and Termination
Company may, in its sole discretion, suspend, restrict, or terminate Client’s access to the Website or Services immediately upon notice (or without notice where reasonably necessary) if: (a) Client breaches this Agreement; (b) Client’s activities create compliance, legal, or regulatory risk; (c) Client fails to timely pay any amounts due; or (d) such action is reasonably necessary to protect the integrity, security, or operation of the Website or the rights, safety, or interests of Company or any third party. Company shall not be liable for any suspension or termination undertaken in good faith pursuant to this Section.
9. Health and Medical Disclaimer
Samarra Yoga LLC provides general fitness and wellness content and is not a licensed medical provider. All yoga instruction, guidance, and related content is for educational and informational purposes only and does not constitute medical advice, diagnosis, or treatment.
Pregnancy and the postpartum period involve significant physiological changes. Before beginning any exercise program through this Platform, you should:
- Consult your physician, midwife, or qualified healthcare provider
- Obtain medical clearance for physical activity at your current stage of pregnancy or postpartum recovery
- Disclose any relevant medical conditions, complications, or restrictions to your healthcare provider
If you experience pain, dizziness, shortness of breath, vaginal bleeding, unusual swelling, or any other concerning symptom during exercise, stop immediately and contact your healthcare provider or emergency services.
By using the Platform and participating in any course or exercise content, you acknowledge that physical activity carries inherent risks, including the risk of injury. You voluntarily assume all risks associated with your participation.
10. General Provisions
These Terms constitute the entire agreement regarding Website use. If any provision is unenforceable the remaining provisions remain in effect. Client may not assign these Terms without consent. We may update this Agreement from time to time. Updates will be posted with a revised effective date. The Website is provided as is and as available. Company disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
11. Mediation and Arbitration
Any controversy, dispute or claim arising out of, or relating to this Agreement, any breach thereof, or the relationship between the Parties shall be mediated through a mutually agreed upon mediator in Utah. Thereafter, the Parties agree to arbitrate any issues that are not resolved before a single arbitrator in Salt Lake County, Utah. Said arbitration shall be binding on the Parties and the arbitration decision may be enforced in a court of competent jurisdiction in accord with the laws of the State of Utah. By signing this Agreement, Client acknowledges and agrees that they are waiving their right to a trial by jury in court. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Utah, without regard to conflict of law rules.
